TERMS OF SERVICE — PROFITDEKHO LENS

These Terms of Service ("Terms") govern your use of the ProfitDekho Lens browser extension and its connected account and server features (together, the "Service").

The Service is operated by Adriel Fashion, Chandpara, Near BDO Office, Gaighata, West Bengal – 743245, India ("ProfitDekho", "we", "us", "our"). ProfitDekho is a trademark of Adriel Fashion.

By installing or using the Service, you agree to these Terms. If you do not agree, please do not install or use the Service.


1. WHAT THE SERVICE IS
ProfitDekho Lens is a browser extension that provides software tools for e-commerce sellers, including settlement-based profit and loss calculation, order analytics, shipping label processing, listing optimisation assistance, product insight, and an AI assistant known as Manojit AI.
The Service is an independent product. It is not affiliated with, endorsed by, or sponsored by Meesho, Flipkart, Amazon, or any other marketplace.


2. ELIGIBILITY AND YOUR ACCOUNT
You must be at least 18 years of age and legally capable of entering into a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please notify us immediately if you believe your account has been used without your authorisation.
You may not share, resell, sublicense or transfer your account or licence to any other person or business without our prior written permission.


3. SUBSCRIPTION, BILLING AND REFUNDS
Certain features are available free of charge and others require a paid subscription. Current pricing is published at profitdekho.in/subscription and may change from time to time. We will give reasonable notice before a price change applies to your existing subscription.
Subscriptions are billed in advance for the selected period. Refunds are governed by our Refund Policy, published at profitdekho.in/refund-policy, which forms part of these Terms. Except as provided in that policy or as required by applicable law, payments are non-refundable.
We may suspend or withdraw access where payment fails or where these Terms are breached.


4. ACCEPTABLE USE
You agree that you will not:
 - Use the Service in breach of any marketplace policy or applicable law
 - Attempt to place fake orders, manipulate ratings or reviews, evade taxes, or infringe any third party's brand or intellectual property rights
 - Access another seller's account or data without authorisation
 - Reverse engineer, decompile, disassemble, modify or create derivative works from the Service, except to the extent that such a restriction is prohibited by applicable law
 - Remove, alter or obscure any copyright, watermark, or attribution notice contained in the Service
 - Resell, redistribute, or offer the Service to third parties as your own
 - Overload, disrupt, scrape, or attempt to circumvent the security measures or usage limits of the Service
We may suspend or terminate any account that breaches this section.


5. YOUR CONTENT AND YOUR RESPONSIBILITIES
You retain ownership of the reports, files and content you upload. You grant us a limited licence to process that content solely for the purpose of providing the features you have requested.
You confirm that you have the right to upload the content you provide, and that your use of the Service complies with the terms and policies of the marketplaces on which you sell. You remain responsible for your listings, pricing, orders, tax compliance and customer obligations.

6. MANOJIT AI — IMPORTANT LIMITATIONS
Manojit AI produces automated suggestions. Its responses, including suggested selling prices, demand estimates, keyword recommendations, HSN code and GST references, and explanations of marketplace policy, are informational estimates only. They may be incomplete or inaccurate, and marketplace policies, fee structures and tax rates change over time.
You must independently verify any material information using the official marketplace panel, the relevant government authority, or a qualified professional before acting on it. You remain solely responsible for your business decisions.


7. NO PROFESSIONAL ADVICE
The Service does not provide accounting, taxation, legal or financial advice. Profit and loss figures are derived from the files you upload and are intended for your own internal reference only. They are not audited financial statements and must not be relied upon for tax filing, statutory reporting, or any legal purpose. Please consult a qualified chartered accountant or other professional adviser.


8. THIRD-PARTY PLATFORMS
The Service operates alongside third-party marketplace websites. Those platforms may change their websites, report formats, data or policies at any time, which may temporarily limit or disable features of the Service. We will make reasonable efforts to restore functionality, but we do not guarantee continued compatibility, and we are not responsible for the acts, omissions, policies or outages of those platforms.


9. INTELLECTUAL PROPERTY
The Service, including its source code, design, user interface, branding and content, is owned by Adriel Fashion and is protected by applicable intellectual property laws. The source code is watermarked, and unauthorised copying or redistribution is traceable.
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable and revocable licence to use the Service for your own business purposes for the duration of your subscription. No other rights are granted, whether by implication or otherwise.


10. AVAILABILITY AND CHANGES TO THE SERVICE
We aim to keep the Service available but do not guarantee uninterrupted or error-free access. We may add, modify, suspend or discontinue features. Where we materially discontinue a paid feature, we will provide reasonable notice and, where appropriate, a pro-rated refund for the unused paid period.


11. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any calculation, estimate or suggestion will be accurate, complete or profitable.


12. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, ProfitDekho and Adriel Fashion will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, sales, goodwill, data or business opportunity, arising out of or in connection with your use of, or inability to use, the Service.
Our total aggregate liability for all claims relating to the Service will not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or INR 1,000, whichever is higher.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.


13. INDEMNITY
You agree to indemnify and hold harmless ProfitDekho and Adriel Fashion from and against any claim, demand, loss or expense, including reasonable legal fees, arising out of your misuse of the Service, your breach of these Terms, or your violation of any marketplace policy or applicable law.


14. TERMINATION
You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access where you breach these Terms, where required by law, or where continued access would create a security or legal risk.
Provisions that by their nature should survive termination, including those relating to intellectual property, disclaimers, limitation of liability and indemnity, will continue to apply after termination.


15. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of India. The courts at Kolkata, West Bengal, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer protection rights available to you under applicable law.


16. CHANGES TO THESE TERMS
We may update these Terms from time to time. Where changes are material, we will notify you through the Extension or by email before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
